Terms of Services
1. Introduction
Welcome to Supply Chain AI Pro. These Terms of Service (“Terms”) govern your access to and use of our services, including tools for address validation, GPS coordinates conversion, data cleaning, supply chain network visualization, and other related services (the “Services”). By accessing or using our Services, you agree to be bound by these Terms, which constitute a binding legal agreement between you and Supply Chain AI Pro. If you do not agree to these Terms, you may not use the Services.
2. Eligibility and Account Responsibility
- Eligibility: You must be at least 18 years old and legally capable of entering into binding contracts to use our Services.
- Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach. Providing false or misleading information during registration may result in the termination of your account.
3. License to Use Services
- Grant of License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations, subject to these Terms.
- Restrictions: You may not (a) reverse engineer, decompile, or disassemble the Services; (b) modify, distribute, or create derivative works based on the Services; (c) use the Services for competitive analysis or to build a similar product or service.
- Modification and Revocation: We reserve the right to modify or revoke your license at any time if you violate these Terms or for other valid reasons.
4. Intellectual Property
- Ownership: All intellectual property rights in the Services, including but not limited to software, text, images, trademarks, and logos, are owned by Supply Chain AI Pro or our licensors. You are not granted any rights to our intellectual property except as expressly provided in these Terms.
- User-Generated Content: If you submit or upload content to the Services (e.g., comments, images), you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, display, modify, and distribute your content in connection with providing the Services. You agree not to upload any content that infringes on the intellectual property rights of others.
- Feedback: Any feedback, comments, or suggestions you provide regarding the Services (“Feedback”) are entirely voluntary. We will be free to use, disclose, reproduce, license, or otherwise distribute and exploit the Feedback as we see fit, without any obligation to you.
5. Data and Privacy
- Data Ownership: You retain ownership of any data you input or upload to the Services (“Your Data”). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, store, and process Your Data solely for the purpose of providing the Services.
- Data Security: We implement industry-standard security measures to protect Your Data. However, you acknowledge that no security measure is completely effective, and we cannot guarantee the absolute security of Your Data.
- Data Breach Notification: In the event of a data breach that affects your data, we will notify you within 72 hours of becoming aware of the breach, in accordance with applicable laws and regulations.
- Privacy Policy: Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
6. Compliance with Laws
- GDPR Compliance: If you are located in the European Union or are subject to the GDPR, we will process any personal data you provide in accordance with the GDPR. We act as a data processor for Your Data, and you act as the data controller.
- Other Applicable Laws: We comply with other relevant laws and regulations, including the California Consumer Privacy Act (CCPA) and Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA). You are responsible for ensuring that your use of the Services complies with all applicable local, state, national, and international laws and regulations.
7. User Responsibilities
- Lawful Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to upload, post, or transmit any content that is illegal, harmful, or infringes on the rights of others.
- Consequences of Violation: Violating these responsibilities may result in the suspension or termination of your account, as well as legal action if necessary.
8. Third-Party Services
- Integration with Third-Party Services: The Services may integrate with third-party services (e.g., Google Maps, HERE Maps). We are not responsible for any third-party services or their use of Your Data. Your use of third-party services is subject to their terms and policies.
- User Agreement to Third-Party Terms: By using third-party services through our platform, you agree to comply with the terms and conditions of those third parties. We disclaim any liability for the actions of third-party service providers.
9. Limitation of Liability
- No Warranty: The Services are provided “as is” and “as available,” without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability: To the maximum extent permitted by law, Supply Chain AI Pro’s total liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim or (b) $1,000.
- Exclusion of Certain Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
10. Indemnification
- Your Indemnity: You agree to indemnify, defend, and hold harmless Supply Chain AI Pro, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services; (b) your violation of these Terms; (c) Your Data or any other content or materials you submit to the Services; (d) your infringement of any intellectual property rights or other rights of any third party; or (e) your violation of any laws or regulations.
11. Refund and Payment Terms
- Payments: All payments for Services must be made in accordance with the terms provided at the time of purchase. Payments are due upon receipt, and all sales are final unless otherwise specified.
- Refunds: Refunds may be issued at our discretion and in accordance with our refund policy, which will be clearly communicated during the purchase process. Refunds are typically not available for completed services or digital products.
- Dispute Resolution for Payments: If you dispute a payment or believe an unauthorized transaction has occurred, you must notify us within 30 days of the transaction. We will investigate and respond to your dispute promptly.
12. Governing Law and Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions. If you access the Services from outside Egypt, you are responsible for compliance with local laws. Supply Chain AI Pro makes no representations that the Services are appropriate or available for use in other locations.
- Dispute Resolution: Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration conducted by the Cairo Regional Centre for International Commercial Arbitration (CRCICA) in Cairo, Egypt, under its rules. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. By using the Services, you waive your right to participate in a class action lawsuit or class-wide arbitration.
- Fallback Clause: If the arbitration clause is found to be unenforceable, disputes will be resolved in the courts of Cairo, Egypt.
13. Force Majeure
Supply Chain AI Pro shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, cyber-attacks, significant supply chain disruptions, or governmental actions.
14. Changes to Terms
We may modify these Terms from time to time. We will notify you of any changes by posting the new Terms on our website or through the Services and sending a notification via email or other communication methods. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
15. Termination of Services
- Termination by You: You may terminate your account at any time by contacting us or by ceasing to use the Services.
- Termination by Us: We may suspend or terminate your access to the Services, at our sole discretion, at any time, with or without notice, for any reason, including if you breach these Terms.
- Rights Upon Termination: Upon termination, all licenses and other rights granted to you in these Terms will immediately cease. You may request a copy of Your Data within 30 days of termination, after which it will be deleted unless otherwise required by law. Refund eligibility, if applicable, will be determined based on our refund policy.
16. Customer Support and Service Levels
- Support: We provide customer support through our designated channels. Our response times may vary depending on the nature of your inquiry. While we strive to address all support requests promptly, we do not guarantee specific response times unless otherwise stated.
- Service Availability: We aim to provide reliable and uninterrupted access to the Services, but we do not guarantee uptime. Scheduled maintenance, updates, or unforeseen circumstances may cause temporary interruptions. We will make reasonable efforts to minimize disruptions and notify you in advance when possible.
